PC Security Services Offered by Ponderosa Internet
Terms and Conditions
Ponderosa Internet has negotiated with a third-party vendor (“Vendor”) to provide Customer, PC Security Services (“Security Services”). Security Services are described within this document.
Customer acknowledges that Vendor reserves the right to change and enhance Security Services from time to time. Should Vendor change or enhance Security Services, Ponderosa Internet shall notify Customer within ten (10) days of receipt of such notice by Vendor. Customer understands and agrees that Ponderosa Internet is neither responsible nor liable for any monitoring of Vendor’s performance nor is Ponderosa Internet responsible or liable for Vendor’s inability or failure to perform.
1. Security Services
Ponderosa Internet will cause Vendor to provide and be responsible for, Security Services for Customer as described herein. Security Services include:
(a) Installation of Services. Ponderosa Internet will cause Vendor to be responsible, when requested by use of the Remote Install Support feature, for the installation of Security Services sold to Customer.
(b) Service and Maintenance. Upon the sale of Security Services hereunder, Ponderosa Internet shall cause Vendor to be responsible for the update and maintenance of such Security Services sold to Customer.
(c) Support. Ponderosa Internet will cause Vendor to be responsible for providing chat, email, and phone support for Security Services during the hours of 8:00am to 8:00pm Central Standard Time, Monday through Friday to Technical Support and Subscribers.
(d) Miscellaneous. Ponderosa Internet will cause Vendor to provide the following:
• Installation CD
• Online Installation Executable
• Fully Managed Symantec Antivirus Corporate Edition Client
• Fully Managed Microsoft Operating System Patch Management
• Fully Managed Firewall Protection
• Diskeeper Professional
• Integrated Internet Explorer Pop-Up Blocker
• Fully Managed Spyware Protection
• Online Internet Reporting
• Monthly Email Summary Report
• Full Technical Support
(e) One-Time Install. For an additional one-time fee, unless waived by Ponderosa Internet, Vendor will provide Supported Installation either by phone or via the Internet.
2. Customer Obligations and Acknowledgments
(a) Customer acknowledges and agrees that Ponderosa Internet may freely contract and/or assign the duties of providing Security Services to a third party, including Vendor.
(b) Customer agrees to provide to Ponderosa Internet all available information that is reasonably required by Ponderosa Internet or Vendor to effectively provide the Security Services.
3. Term of this Service
The term for the provision of Security Services shall be a minimum of one month.
(a) Ponderosa Internet will have the right to terminate this Service, by written or verbal notice to Customer:
(i) If the service is terminated with respect to Customer for any reason, or for no reason at all;
(ii) If Customer is not in compliance with any terms of this Service in any material respect, and such non-compliance continues for a period of 30 days after written notice from Ponderosa Internet to Customer of such non-compliance; or
(iii) Notwithstanding anything to the contrary herein, this Service shall terminate or
be suspended automatically upon the termination or suspension of Ponderosa Internet’s
agreement(s) with Vendor from which Ponderosa Internet purchases Security Services necessary
to provide Security Services to Customer as contemplated herein.
(b) Customer will have the right to terminate this Agreement by written or verbal notice to Ponderosa Internet. Customer shall be liable for any accrued charges for this Service as of the termination date.
